Terms and Conditions

PLEASE READ THE FOLLOWING TERMS AND CONDITIONS OF USE AGREEMENT CAREFULLY

1. General

These Terms and Conditions ("Terms") govern all sales and business transactions between LAMEDIX SP. Z O.O. ("Lamedix", "we", "our") and its clients ("Buyer", "you", "your") involving the purchase of medical diagnostic and surgical products. By placing an order with us, you agree to be bound by these Terms.

2. Products and Services

LAMEDIX SP. Z O.O. provides certified medical devices, diagnostic tools, and surgical products for hospitals, clinics, and healthcare providers. Product availability and specifications are subject to change without prior notice.

3. Orders and Contract Formation

Orders must be submitted in writing or via approved electronic methods.
All orders are subject to acceptance by LAMIDEX.
A binding agreement is established upon our written confirmation or issuance of an invoice.

4. Prices and Payment Terms

All prices are in PLN or EUR (excluding VAT unless stated otherwise).
Payment is due within [e.g., 14/30] days from the invoice date unless otherwise agreed in writing.
Overdue payments may incur statutory interest as per Polish law.

5. Delivery and Risk

Delivery terms are based on agreed Incoterms (e.g., EXW, DDP).
LAMIDEX is not liable for delivery delays caused by external factors.
Risk of loss transfers to the buyer upon dispatch from our warehouse or designated delivery point.

6. Returns and Complaints

Any visible damage or delivery error must be reported within 5 business days of receipt.
Products may be returned only with prior written approval from Lamedix.
Customized or sterile goods are not returnable unless proven defective.

7. Warranty

LAMIDEX warrants that delivered products are free from material defects at the time of shipment.
Warranty is limited to replacement, repair, or refund, at our discretion.
The warranty does not cover improper storage, use, or handling by the buyer.

8. Limitation of Liability

LAMIDEX is not liable for indirect, incidental, or consequential damages.
Our total liability is limited to the purchase price of the goods involved in the claim.

9. Compliance

Buyers must use all products in accordance with Polish law, EU medical regulations, and applicable professional standards.

10. Intellectual Property

All intellectual property, including trademarks, documents, and content, remains the property of LAMEDIX SP. Z O.O. and may not be reproduced without prior consent.

11. Governing Law and Jurisdiction

These Terms shall be governed by the laws of the Republic of Poland.
Any disputes shall be subject to the exclusive jurisdiction of the courts in Gryfino, Poland.

12. Amendments

LAMEDIX SP. Z O.O. reserves the right to amend these Terms at any time. Updated versions will be posted on our official website.
